Terms and Conditions of Mohamed SI AHMED and Diwan Consulting LLC-FZ

3. Government Fees: All fees related to authorities (licence, customs, taxes) must be paid in advance. Mohamed SI AHMED and Diwan Consulting LLC-FZ is not responsible for any penalties incurred by the client.
4. Automatic Deduction: In the event of non-payment, Mohamed SI AHMED and Diwan Consulting LLC-FZ may deduct the amounts owed from any account or funds it holds on behalf of the client.
5. No Refund Policy: Any paid invoice is deemed accepted. No refund may be requested after payment has been made.
6. Right of Refusal: Mohamed SI AHMED and Diwan Consulting LLC-FZ may refuse a service or cease to act for a client at its discretion. Only unused and tax-exclusive fees may be refunded.
7. Address Confidentiality: No address provided by Mohamed SI AHMED and Diwan Consulting LLC-FZ may be used publicly without its written authorisation.
8. Address Changes: In the event of an office relocation, Mohamed SI AHMED and Diwan Consulting LLC-FZ will notify the client without being held liable for any costs incurred.
9. Required Documents: The client must provide a passport and a utility bill. These documents will be treated confidentially unless required by law.
10. Up-to-Date Contact Details: The client must inform Mohamed SI AHMED and Diwan Consulting LLC-FZ of any change in contact details or communication restrictions.
11. Tax Compliance: The client must verify their tax situation in their country of origin. Mohamed SI AHMED and Diwan Consulting LLC-FZ accepts no liability in cases of tax fraud or evasion.
12. Sufficient Funds: The client must ensure that the company has the necessary funds to meet its obligations to Mohamed SI AHMED and Diwan Consulting LLC-FZ and its service providers.
13. Limitation of Liability: Mohamed SI AHMED and Diwan Consulting LLC-FZ is not responsible for any loss or damage caused by the use of its services or by the client's company.
14. Indemnification: The client agrees to indemnify Mohamed SI AHMED and Diwan Consulting LLC-FZ against any claims related to the services provided.
15. Unlawful Activities: The client must not use the company for illegal activities. Mohamed SI AHMED and Diwan Consulting LLC-FZ accepts no liability in cases of fraudulent use.
16. Written Instructions: All requests must be submitted in writing. Mohamed SI AHMED and Diwan Consulting LLC-FZ may refuse any verbal instruction without liability.
17. Means of Communication: Communications are valid if sent to the address provided by the client.
18. Execution of Instructions: Mohamed SI AHMED and Diwan Consulting LLC-FZ is not responsible for errors resulting from the absence of or failure to comply with clear instructions.
19. Banking Liability: Mohamed SI AHMED and Diwan Consulting LLC-FZ assists with but is not responsible for the opening or management of bank accounts.
20. Nature of Information: Content published by Mohamed SI AHMED and Diwan Consulting LLC-FZ (brochures, website, documents) does not constitute legal or tax advice.
21. Due Diligence: Mohamed SI AHMED and Diwan Consulting LLC-FZ reserves the right to carry out compliance checks at any time. The client agrees to cooperate fully.
22. Government Authority Decisions: Mohamed SI AHMED and Diwan Consulting LLC-FZ does not guarantee the decisions of government authorities.
23. Visa and Immigration: The client is responsible for complying with immigration laws. Mohamed SI AHMED and Diwan Consulting LLC-FZ acts solely as an administrative intermediary.
24. Timelines: Communicated timelines are indicative. Mohamed SI AHMED and Diwan Consulting LLC-FZ cannot be held responsible for delays caused by authorities or third parties.
25. Client Responsibility: The client remains solely responsible for the use of the company created and for its tax and legal obligations.
26. Compliance with Laws: The client must comply with all applicable laws in the country of incorporation and in their country of residence.
27. Policy Changes: Mohamed SI AHMED and Diwan Consulting LLC-FZ may amend its terms and conditions. The up-to-date version will always be available upon request.
28. Governing Law: The contractual relationship is governed by the laws of the United Arab Emirates.
29. Disputes: In the event of a dispute, the parties will endeavour to resolve the matter amicably. Failing that, the competent courts will be those of Dubai.
30. Force Majeure: Mohamed SI AHMED and Diwan Consulting LLC-FZ is not responsible in the event of unforeseen circumstances preventing the fulfilment of its obligations.
31. Partial Invalidity: If any clause is deemed void, the remaining clauses shall continue to apply.
32. Entire Agreement: These terms and conditions constitute the entire agreement between the parties.
33. Translation: In the event of any discrepancy between language versions, the French version shall prevail.
34. Evidence: Digital documents exchanged between the parties are admissible as evidence.
35. Intellectual Property: All content created by Mohamed SI AHMED and Diwan Consulting LLC-FZ is its exclusive property unless otherwise stated.

39. Consent: By signing or accepting an offer, the client acknowledges having read and accepted these terms and conditions.
40. Effective Date: These terms apply from the date of signature or acceptance of the offer.
41. Duration: They remain valid for the entire duration of the contractual relationship.
42. Termination: Mohamed SI AHMED and Diwan Consulting LLC-FZ may terminate the contract in the event of a serious breach of obligations by the client.
43. Refund After Termination: No refund will be made unless expressly agreed otherwise.
44. Archiving: Documents are archived for a period consistent with legal obligations.
45. Electronic Acceptance: Electronic validation of the terms and conditions constitutes express acceptance and signature.
